1. Agreement to Terms
By accessing or using the services of Xcel Services Ltd ("Company," "we," "our," or "us"),
you agree to be bound by these Terms of Service. If you do not agree to these terms,
please do not use our services.
2. Services Description
Xcel Services Ltd provides:
- Recruitment Services: Executive search, technical recruitment, volume hiring, and headhunting
- Staffing Solutions: Temporary staffing, contract-to-hire, payroll management, and HR administration
- Accommodation Services: Worker hostels, corporate housing, and facility management
3. Client Terms
For Employers/Companies
- You agree to provide accurate job descriptions and requirements
- Recruitment fees are due upon successful placement as per the service agreement
- You will not directly hire candidates introduced by us without going through our formal process
- A guarantee period applies to permanent placements as specified in your service agreement
- Staffing fees are invoiced according to the agreed payment schedule
For Candidates/Job Seekers
- You agree to provide accurate and truthful information in your application
- Our services are free for job seekers - we never charge candidates
- You consent to background and reference checks as part of the recruitment process
- You will notify us promptly if you accept employment elsewhere
- You understand that registration does not guarantee placement
4. Accommodation Terms
- Accommodation is provided as per the terms of your housing agreement
- Residents must comply with facility rules and regulations
- Damage to property will be charged to the responsible party
- We reserve the right to terminate accommodation for violation of rules
- Notice periods for vacating accommodation apply as specified in the agreement
5. Payment Terms
- All fees are quoted in Ghana Cedis (GHS) unless otherwise specified
- Payment terms are net 30 days from invoice date unless otherwise agreed
- Late payments may incur interest charges as permitted by law
- We reserve the right to suspend services for overdue accounts
6. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during
the course of our business relationship. This includes candidate information, client
requirements, and pricing terms.
7. Intellectual Property
All content on our website, including text, graphics, logos, and software, is the
property of Xcel Services Ltd and protected by intellectual property laws.
You may not reproduce, distribute, or create derivative works without our written consent.
8. Limitation of Liability
To the maximum extent permitted by law, Xcel Services Ltd shall not be liable for:
- Any indirect, incidental, or consequential damages
- Loss of profits, data, or business opportunities
- Actions or omissions of placed candidates or client companies
- Circumstances beyond our reasonable control
Our total liability shall not exceed the fees paid for the specific service in question.
9. Indemnification
You agree to indemnify and hold harmless Xcel Services Ltd, its directors, employees,
and agents from any claims, damages, or expenses arising from your use of our services
or violation of these terms.
10. Termination
Either party may terminate services with written notice as specified in the service
agreement. Outstanding fees remain payable upon termination. We reserve the right to
terminate services immediately for breach of these terms.
11. Dispute Resolution
Any disputes arising from these terms or our services shall be resolved through:
- Good faith negotiation between the parties
- Mediation if negotiation fails
- Arbitration in accordance with Ghana Arbitration Centre rules
These terms shall be governed by the laws of the Republic of Ghana.
12. Modifications
We reserve the right to modify these Terms of Service at any time. Changes will be
effective upon posting to our website. Continued use of our services constitutes
acceptance of modified terms.
13. Severability
If any provision of these terms is found to be unenforceable, the remaining provisions
shall continue in full force and effect.
